MODEL
CONSTITUTION
- NAME:
The
name of the Association shall be Honicombe Park Residents’ Association.
- AIMS
The
Aim of the Association shall be:
a)
To
represent the interest of residents in consultation with the park owner and
with local authority and other bodies.
b)
To
promote the exercise of residents rights and the maintenance and improvement of
conditions on the park.
c)
To
campaign on behalf of all residents for the improvement of the local amenities
and environment.
d)
To
organise social and community activities to encourage community spirit.
In
the furtherance of these aims, the association has the power to:
a)
Affiliate
to any organisation whose objectives will benefit the members.
b)
Research
any legislation and issues that may affect residents and their rights.
- MEMBERSHIP
Membership
is open to all residents and homeowners of Honicombe Park over the age of
eighteen irrespective of nationality, race, colour, age and gender, Political
or religious belief.
Only
one member per owner-occupied home may vote at general meetings.
- MEMBERSHIP FEES/SUBSCRIPTION
Membership
becomes effective on payment of the annual subscription which shall be payable
per household, the amount determined at the Annual General Meeting of the
Association.
- COMMITTEE
The
association shall be managed by a committee; which shall be elected at the
Annual General Meeting. The committee
shall have collective responsibility for the overall direction and supervision
of the Association’s affairs in accordance with the stated Aims.
The
committee shall consist of a Chairperson, Vice Chairperson (optional),
Secretary, and Treasurer; and up to four other members.
The
committee will meet as required but not less than four times per year.
The
committee may temporarily fill up two vacancies arising among the officers of
the association until the next General Meeting of members.
6. ANNUAL GENERAL
MEETING
There
shall be an Annual General Meeting in May each year to:
a)
Accept
the Committee’s Annual Report.
b)
Accept
the Treasurer’s financial statement of accounts.
c)
Elect
officers and committee for the next year.
d)
Consider
items previously notified to the secretary.
Notification
of the AGM will be given to all members at least fourteen days before
the meeting.
Member’s proposals for discussion must be
notified to the secretary at least seven days before the meeting.
7.
OTHER
GENERAL MEETINGS
The
committee may call a General Meeting at any time. The committee must call a General Meeting on
receiving a request to that effect signed by 10% of the members having
the right to vote at General Meetings.
The decision of General Meetings, are to be carried out by the Committee. All members will be given not less than seven days notice of the meeting.

8.
QUORUM
The
Quorum for committee meetings will be four members and therefore no
committee meeting shall take place unless this number is met.
The
Quorum for general meetings will be 25% of voters and therefore no
general meetings will be held without this number.
9.
VOTING
Motions formally raised at a General
Meeting shall be decided upon by a straight majority of entitled members
present, except those relating to the Constitution; which will require a
two-thirds majority of those members present.
A resolution shall be decided on a show of hands unless a ballot is
demanded:
a)
by
the Chairperson of the meeting, or
b)
by
at least two members present and entitled to vote.
10.
FINANCE
All
money raised by or on behalf of the association shall be used to further the
aims of the association and for no other purpose. The Association’s finances shall be
controlled and accounted for by the Treasurer and under the overall direction
of the Committee. Monies withdrawn, or
transferred between the Association’s bank accounts, shall be authorised by two
of the four officers nominated by the committee, one to be the Treasurer. No two members of the same household may be
cheque signatories.
The Treasurer will open a bank account in the name of the Association and will keep
proper records of all finances of the Association. These shall include records of:
a)
All
sums of money received and spent by the association.
b)
All
sales and purchases by the Association.
c)
The
assets and liabilities of the Association.
11.
CONDUCT OF BUSINESS
At meetings any offensive behaviour,
including racist/sexist or inflammatory remarks will not be permitted.
12.
CHANGES TO THE CONSTITUTION
The Constitution may only be altered
at an Annual General Meeting or a General Meeting.
Notice of proposed amendment to the
Constitution must be handed to the Secretary fourteen days before the
General Meeting.
Changes to the Constitution must be
agreed by two thirds of the members present at the meeting.
13.
DISSOLUTION
The Association may only be dissolved
at a General Meeting called for that purpose.
At lease 28 days notice must be given to all members.
A proposal to dissolve the Association
shall only take effect if agreed by two thirds of the members present at
the meeting.
All funds and documents relating to
the association shall be disposed of in accordance with the decisions of the
meeting.
